These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "Customer") and Jordan Sales, operating as MidasQuote (a sole proprietorship) ("MidasQuote," "we," "us," or "our"), governing your access to and use of the MidasQuote website, dashboard, and embeddable quote widget (together, the "Service"). By creating an account, checking the box at signup, or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
MidasQuote provides cabinet and countertop shops with an embeddable quoting widget and a dashboard for configuring pricing, products, and a shop's showroom, so the shop's own website visitors can get an instant estimate. The Service is provided on a subscription basis as described on our Pricing page.
You must be at least 18 years old and able to form a binding contract to create an account. You're responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at support@midasquote.com if you suspect unauthorized use.
New accounts may start with a 30-day free trial that requires no payment card. At the end of the trial, if you haven't upgraded to a paid plan, your widget automatically switches to a limited free Demo mode rather than being charged automatically — see the Pricing page for exactly what that includes. We may change, limit, or end the free trial or Demo offering at any time.
Paid plans are billed monthly or annually in advance, in Canadian dollars unless stated otherwise, through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. We'll do our best to give you advance notice of any price increase before it applies to your next renewal.
You're responsible for keeping your billing information current. A failed payment may result in suspension of your access to the Service until it's resolved.
You can cancel your subscription at any time from your dashboard; cancellation stops future billing effective at the end of your current billing period. If you cancel within 14 days of your first paid charge, you're entitled to a full refund of that charge — email support@midasquote.com to request it. Outside that 14-day window, payments are non-refundable, including for partial billing periods, unless we say otherwise in a specific case.
You retain ownership of the pricing, product information, photos, and other content you upload to configure your shop ("Your Content"). You grant us a license to host, store, and display Your Content solely to operate and provide the Service to you and to the visitors who use your embedded widget.
You're responsible for making sure Your Content doesn't infringe anyone else's rights and that you have the right to use any photos or materials you upload (including the option to use our own curated photo library instead).
When a visitor submits a quote request through your widget, that submission (their name, contact details, and project information) is collected on your behalf and made available to you through your dashboard and email notifications. See our Privacy Policy for how that data is handled.
You agree not to: use the Service for anything unlawful or fraudulent; attempt to access another shop's account or data; reverse-engineer, scrape, or resell the Service without our written permission; upload content that's illegal, infringing, or deceptive; or interfere with the Service's normal operation (including attempting to bypass rate limits, security measures, or the free-trial/Demo restrictions).
MidasQuote and its underlying software, design, and branding are owned by us and our licensors. These Terms don't grant you any rights to our intellectual property beyond the limited right to use the Service as intended. You retain all rights to Your Content as described in Section 7.
The Service relies on third-party providers to function, including Stripe (payments), Memberstack (account login), Airtable (data storage), Resend (email delivery), and Cloudflare (hosting). Your use of the Service is also subject to those providers' own terms where applicable, and we're not responsible for outages or issues caused by a third-party provider that are outside our reasonable control.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that quotes generated by the widget will always be accurate — you're responsible for reviewing and standing behind any quote before presenting it to your own customer.
To the maximum extent permitted by law, MidasQuote and its owners/operators won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
You agree to indemnify and hold MidasQuote harmless from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of any law or third party's rights.
We may suspend or terminate your access to the Service if you materially breach these Terms and don't fix it after reasonable notice, or immediately in cases of fraud, non-payment, or serious misuse. You may stop using the Service and cancel your account at any time as described in Section 6.
We may update these Terms from time to time. If we make material changes, we'll make reasonable efforts to notify you (such as by email or a notice in your dashboard) before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
